1. About Leadz

Leadz is a customer relationship management and communication platform operated by Euonex. It enables businesses to manage leads, contacts, customer conversations, and connected communication channels through a centralized interface.

By establishing an account or using the Leadz platform (the "Services"), you agree to be bound by these Terms of Use ("Terms"). If you represent an organization, you warrant that you have authority to bind that entity to these Terms.

2. Account and Authorization

To access the platform, you must register an account and provide accurate registration data. You are responsible for:

• Keeping your credentials secure
• Maintaining accurate account information
• Authorizing only appropriate team members
• Ensuring connected third-party accounts belong to or are legitimately controlled by you
• Promptly reporting unauthorized access

3. Third-Party Integrations

Leadz may allow customers to connect third-party communication and business platforms, including WhatsApp and other supported services. By connecting a third-party service, the customer authorizes Leadz to access and process the information made available by that service as necessary to provide the selected Leadz functionality.

The customer's use of a third-party service remains subject to that provider's own terms, policies, and requirements.

4. WhatsApp Use

Customers who connect WhatsApp to Leadz are responsible for using the service in compliance with applicable laws, Meta and WhatsApp policies, and any consent or messaging requirements applicable to their communications. Customers are responsible for ensuring that they have the necessary rights and permissions to contact recipients and process the information associated with their conversations.

Leadz provides the technical functionality for managing connected WhatsApp communications but does not determine whether a customer's individual communications comply with applicable laws or third-party platform policies.

5. Customer Data and Role of Leadz

As between the customer and Euonex, the customer retains its rights in data that it submits to or manages through Leadz, subject to the rights of third parties and applicable law.

The customer grants Euonex the limited rights necessary to host, process, transmit, store, display, secure, and maintain the Leadz service.

Leadz provides the technical functionality for managing connected communications and customer data. Customers remain responsible for the data and communications they submit to or manage through Leadz and for ensuring that their processing activities comply with applicable laws, consent requirements, and third-party platform policies. Depending on the nature of the processing and applicable law, Euonex may process customer data on behalf of the customer or act in another legally applicable capacity. The parties' respective data protection responsibilities may be further described in applicable privacy documentation or a data processing agreement.

6. Connected Platform Data

Information obtained from connected third-party platforms, including WhatsApp/Meta Platform Data, is used to provide the Leadz functionality requested by the customer. Euonex does not sell such platform data and does not use it for advertising purposes. Customers authorize the relevant integrations and may disconnect them subject to the capabilities and requirements of the applicable third-party platform.

7. Acceptable Use

You agree not to use the Services for:

• Unlawful activity
• Spam and unsolicited messaging
• Fraud or impersonation
• Malicious content
• Abuse of third-party platforms
• Attempts to bypass platform restrictions
• Unauthorized access
• Malware or harmful code
• Activity that violates Meta/WhatsApp policies

8. Service Availability

Leadz may depend on third-party services and APIs, including communication platforms. Euonex is not responsible for outages, policy changes, restrictions, API changes, suspension, or termination imposed by a third-party provider, although Euonex may take reasonable steps to maintain or restore compatibility where practicable.

9. Billing and Subscriptions

Leadz provides services on a subscription basis. Fees are billed according to your selected plan and billing cycle. Customers are responsible for paying all applicable fees and taxes. Subscription plans, trial policies, and cancellation procedures are provided during the account setup and management process.

10. Suspension and Termination

Euonex may suspend or terminate your access to the Services when reasonably necessary for material breach of these Terms, illegal or abusive activity, security threats, non-payment, violation of third-party platform requirements, or requests or restrictions imposed by applicable law or a platform provider.

11. Account Closure and Data Deletion

Customers may request account and applicable data deletion in accordance with Leadz's data deletion procedures. Details of the available deletion process are provided at: https://leadz.euonex.net/data-deletion

Certain information may be retained where required by law, necessary to resolve disputes, prevent fraud or abuse, maintain security, or satisfy legitimate record-keeping obligations.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Euonex shall not be liable for any indirect, incidental, or consequential damages, including loss of profits, revenue, or business opportunities, arising from your use of the Services or platform interruptions.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflicts of law provisions. Disputes arising herefrom shall be subject to the exclusive jurisdiction of the competent courts in Delhi.
